A Los Angeles-based horticultural container manufacturer, The HC Cos., has acquired a Shelton firm that works in the same industry, according to an announcement.
The company purchased Classic Home & Garden for an undisclosed price.
Classic Home & Garden designs, sources and sells decorative garden pots and other lawn products in North America. The HC Cos. also manufactures plant containers, so the acquisition builds off its existing strengths, the company’s CEO Bob Mayer said.
"This is a strategic and highly complementary combination of two companies that each have their own distinct value propositions," Mayer said. "There is little overlap between the two and joining forces will create new opportunities for both businesses through cross-selling, production and distribution efficiencies, customer acquisition, channel penetration and product innovation.
Classic Home & Garden owner and CEO Fred Ryan will remain a significant investor in the combined business and will serve as president, according to the announcement.
Willkie Farr & Gallagher LLP served as legal counsel, Alston & Bird LLP served as financing counsel and Stout served as financial adviser to The HC Cos. for the acquisition.
Meantime, Berkowitz, Trager & Trager LLC and Locke Lord LLP served as legal counsels to Classic Home & Garden while Piper Sandler Companies served as the firm’s sell-side financial adviser.
