Wallingford-based Amphenol to acquire CommScope mobile network company

HBJ Amphenol Corp. headquarters.

Wallingford-based manufacturer Amphenol Corp. has announced plans to acquire CommScope’s mobile networks businesses for $2.1 billion, the latest in several acquisition deals completed in recent years.

Amphenol, which ranked No. 325 on Fortune magazine’s top 500 largest business list for 2024, makes electronic and fiber optic connectors.

According to the company, the deal includes the purchase of CommScope’s Outdoor Wireless Networks segment and the Distributed Antenna Systems business, part of CommScope’s Networking, Intelligent Cellular and Security Solutions.

These combined businesses are currently expected to have full-year 2024 sales of approximately $1.2 billion and 25%, respectively, the company said.

CommScope provides mobile networks solutions, with advanced technologies in the areas of base station antennas and related interconnect solutions, as well as distributed antenna systems. It was part of the former Andrew Corp.

Amphenol expects to finance the acquisition through a combination of cash and borrowing, with a target closing date in the first half of 2025.

Goldman Sachs & Co. LLC is serving as Amphenol’s financial advisor for the transaction and Latham & Watkins LLP is acting as its legal advisor.

As of late 2023, Amphenol has been involved in several acquisition deals, including Illinois-based PCTEL Inc., a publicly traded global provider of antennas; Oregon-based Connor Manufacturing Services; Q Microwave of California; and New Hampshire-based XMA Corp.

Amphenol President and CEO R. Adam Norwitt said the company remains focused on expanding its growth opportunities.

Amphenol generated $12.6 billion in revenue in 2024 and posted profits of $1.9 billion. It has about 95,000 employees.
